The moment a business becomes more than an idea, it needs its own Permanent Account Number. A partnership firm signing its deed, a private limited company receiving its certificate of incorporation, an LLP registering with the Ministry of Corporate Affairs, or a trust formalising its operations- each of these entities is a separate taxable person in the eyes of the Income Tax Department, and each requires a PAN distinct from the personal PANs of its owners, partners, or directors.

Without a business PAN, the entity cannot open a current account, cannot register for GST, cannot file its income tax return, cannot receive payments above threshold limits without punitive TDS, and cannot access business loans or credit facilities. This guide explains which business structures need PAN, the exact application process through Form 49A, documents for each entity type, fees, the meaning of the fourth character in a business PAN, and how the number unlocks banking, credit, and compliance for the enterprise.

Which Business Structures Need Their Own PAN

Entity TypeSeparate PAN RequiredFourth PAN Character
Sole proprietorshipNo, uses proprietor’s personal PANP (individual)

Limited Liability Partnership (LLP)YesF
Private limited companyYesC
Public limited companyYesC
Hindu Undivided Family (HUF)YesH

Association of Persons (AOP)YesA
Body of Individuals (BOI)YesB

The sole proprietorship is the notable exception. A proprietor and the proprietorship are legally the same person, so the individual PAN serves the business, appears on GST registration, and receives business income in the personal return. Every other structure above is a distinct legal or taxable entity and must obtain its own number.

Why A Business PAN Is Non-Negotiable

The business PAN is the root credential from which everything else grows:

  • Current account opening at any bank, from SBI and HDFC Bank to ICICI Bank and Axis Bank, requires the entity PAN as the first KYC document
  • GST registration maps the GSTIN directly onto the PAN, making registration impossible without it
  • Income tax return filing for the firm or company happens under the entity PAN, with partnership firms taxed at 30 percent and companies at their applicable corporate rates
  • TDS credits on payments received from clients flow into the entity’s Form 26AS only when clients deduct against the correct PAN
  • Payments without PAN attract TDS at 20 percent under Section 206AA instead of standard rates, directly squeezing working capital
  • Business loans, cash credit limits, overdraft facilities, and equipment finance applications begin with the entity PAN, against which lenders pull the commercial credit report
  • Invoices above specified values, high-value contracts, and vendor onboarding at large corporations all demand the PAN
  • Udyam registration for MSME benefits, import-export code applications, and government tender participation reference it throughout

Documents Required By Entity Type

Business PAN applications use the same Form 49A as individuals, but the proof documents establish the entity’s existence rather than a person’s identity.

Partnership Firm

  • Copy of the partnership deed, signed by all partners
  • Certificate of registration issued by the Registrar of Firms, where the firm is registered
  • For unregistered firms, the deed alone generally serves as the constitution document

LLP

  • Certificate of incorporation issued by the Registrar of Companies
  • The LLP agreement supports, but the incorporation certificate is the core proof

Private Or Public Limited Company

  • Certificate of incorporation from the Registrar of Companies
  • Newer companies receive PAN and TAN automatically along with incorporation through the SPICe+ integrated form, so a separate application is often unnecessary for companies incorporated in recent years

Trust

  • Copy of the trust deed
  • Certificate of registration issued by the Charity Commissioner, where applicable

HUF

  • An affidavit by the Karta stating the names, father’s names, and addresses of all coparceners
  • Identity, address, and date of birth proof of the Karta

AOP, BOI, Local Authority

  • Agreement or constitution document
  • Certificate of registration from the relevant authority where applicable

Address proof for the entity typically comes from the registration certificate itself, a bank account statement in the entity’s name where one exists, or utility bills at the registered office.

Applying For A Business PAN Online

The application runs through Protean (NSDL) or UTIITSL, the same agencies that handle individual PANs.

  • Open the Protean PAN portal and select New PAN for Indian Citizens, Form 49A
  • In the category dropdown, choose the correct entity type: Firm, Limited Liability Partnership, Company, Trust, HUF, or the applicable option. This choice drives the fourth character of the allotted PAN and cannot be casually changed later
  • Enter the entity name exactly as it appears on the deed or incorporation certificate, including punctuation and spacing. The name field for entities has no first name and surname split, using the full legal name
  • Enter the date of incorporation, partnership deed date, or trust deed date as the date of formation
  • Provide the registered office address, which becomes the communication address for the card and department notices
  • Enter the details of the authorised signatory: the managing partner for firms, a director for companies, the Karta for HUF, or the trustee for trusts
  • Fill the source of income section, typically income from business or profession
  • Enter the Assessing Officer code for your jurisdiction, using the portal’s search by city
  • Upload the entity documents listed above, along with proof of office address
  • Preview every field, matching the name character by character against the constitution document
  • Pay the fee of approximately Rs 107 for an Indian address through UPI, net banking, or card
  • Submit, then print the acknowledgement where physical submission applies, have the authorised signatory sign it with the entity stamp, and courier it with document copies to the agency within 15 days
  • Track processing with the 15-digit acknowledgement number until the card dispatches to the registered office

UTIITSL follows the same structure with its own form flow and coupon-based tracking. Processing typically completes in 10 to 15 working days.

The SPICe+ Shortcut For New Companies And LLPs

Entities incorporating today rarely need a standalone PAN application. The Ministry of Corporate Affairs SPICe+ incorporation form bundles PAN and TAN allotment into the incorporation itself:

  • File SPICe+ for company incorporation or the FiLLiP process for LLPs
  • PAN and TAN are allotted automatically upon approval
  • The certificate of incorporation itself mentions the PAN and TAN
  • The e-PAN arrives at the registered email, and no separate fee or form is needed

Founders should check their incorporation certificate before applying separately, since a duplicate application creates the two-PAN problem, which for entities as for individuals invites the Rs 10,000 penalty under Section 272B.

Reading A Business PAN: The Fourth Character

Every PAN follows the structure of five letters, four digits, and a final letter. The fourth character reveals the holder type instantly:

Banks, vendors, and compliance teams use this character to sanity-check that the PAN quoted matches the entity type on an invoice or account form. A partnership quoting a partner’s personal P-type PAN on firm invoices is a classic error that misroutes TDS credits into the partner’s personal Form 26AS, creating reconciliation headaches at return time.

What The Business PAN Unlocks

Current Accounts And Banking Infrastructure

The current account is the operational heart of a business, and every bank requires the entity PAN alongside constitution documents to open one. From there flow cheque books in the firm’s name, merchant payment acceptance, POS machines, payment gateway settlements, and bulk payment facilities for salaries and vendors. Fixed deposits parked from surplus funds also sit against the entity PAN, with TDS on interest credited properly to the firm’s tax account.

Business Loans And Credit Limits

Lenders evaluate firms through commercial credit reports pulled against the business PAN, alongside the personal CIBIL scores of partners and directors. Working capital limits, cash credit, overdrafts, machinery loans, and MSME schemes like Mudra loans and CGTMSE-backed facilities all begin their journey with the PAN on the application. A firm that starts its banking and borrowing history early against its PAN builds the track record that unlocks larger limits at better rates as it grows.

GST, Compliance, And Vendor Onboarding

The GSTIN embeds the PAN in characters three through twelve, tying every tax registration to it. Large corporate clients onboarding a vendor demand PAN for their TDS systems, and e-invoicing, TDS returns, and advance tax payments all reconcile against it. Clean PAN-anchored compliance is increasingly a commercial asset, since enterprise clients screen vendors for tax hygiene before awarding contracts.

Insurance And Risk Cover

Businesses buying fire and burglary policies for shops and godowns, marine cover for goods in transit, group health insurance for staff from insurers like ICICI Lombard, HDFC ERGO, or Star Health, and keyman insurance on founders will quote the entity PAN on proposals. Premiums become deductible business expenses in the return filed under that same PAN, aligning protection with tax efficiency.

Common Mistakes In Business PAN Applications

  • Choosing the wrong category, such as applying as an individual for a firm, which allots a wrong-type PAN requiring surrender and reapplication
  • Entering a name that differs from the deed or certificate, even by an ampersand versus the word and, causing verification failure
  • Using a partner’s residential address instead of the registered office, misdirecting department communication
  • Forgetting the entity stamp alongside the signatory’s signature on physical acknowledgements
  • Applying separately for PAN when SPICe+ incorporation already allotted one
  • Letting the firm’s PAN application wait until the first big client demands it, stalling invoicing and payment collection at the worst moment

After Allotment: A Setup Checklist

  • Download the entity e-PAN and store it with the constitution documents and in the firm’s document systems
  • Open the current account, submitting the PAN with the deed or incorporation certificate
  • Complete GST registration where turnover or business type requires it
  • Register on the income tax e-filing portal with the entity PAN for return filing and TDS credit tracking
  • Apply for TAN if the business will deduct TDS on salaries, rent, or contractor payments, since TAN is a separate number with its own purpose
  • Complete Udyam registration for MSME benefits using the PAN
  • Brief the accountant so every invoice, contract, and bank form quotes the entity PAN, never a partner’s personal number

A business PAN costs about Rs 107 and two weeks of patience, yet it stands beneath every rupee the enterprise will ever bank, borrow, invoice, and pay in tax. Getting it right at formation, with the correct category and the exact legal name, saves the firm from compliance friction for its entire life.

PAN Verification

Once allotted, the entity PAN enters a verification ecosystem that runs continuously:

  • Banks validate the PAN online with the income tax database at account opening and periodically during KYC refresh, matching the entity name character by character
  • Client corporations verify vendor PANs before releasing payments, since TDS filed against invalid PANs creates compliance defaults on their side
  • The GST system validates the PAN at registration and keeps the GSTIN tethered to it
  • Lenders verify the PAN, then pull the commercial bureau report built against it, before sanctioning limits

Businesses should also verify counterparties. Before extending credit terms to a new dealer or advancing money to a supplier, checking that their quoted PAN is valid and matches their legal name takes minutes through the verification facilities available on the income tax portal, and it filters out a surprising share of problem counterparties before money moves. A firm that both maintains and checks PAN hygiene operates with fewer payment disputes, cleaner TDS reconciliation, and stronger standing when banks review its file.

The Business PAN Through The Firm’s Lifecycle

The PAN accompanies the entity through every structural event, and knowing the rules prevents expensive missteps:

Name Change Of The Firm Or Company

A firm amending its name through a revised deed, or a company changing its name with Registrar approval, keeps the same PAN and files a change request with the amended deed or fresh incorporation certificate as proof. The number survives, and bank accounts, GST records, and contracts update around it.

Reconstitution Of Partnership

Partners joining or retiring, with the firm continuing under the same deed framework, generally leaves the PAN untouched, since the firm as a taxable entity continues. The reconstituted deed goes to the bank and other institutions, while the PAN record itself needs updating only where the firm’s name or address changed.

Conversion Between Structures

Conversion is where the PAN changes, because the taxable person changes. A proprietorship formalising into a partnership means the business moves from the owner’s personal PAN to a new firm PAN. A firm converting into an LLP or company means a new entity PAN for the successor, with fresh GST registration, new bank mandates, and closing compliance for the predecessor. Planning conversions around financial year boundaries, with accountant guidance, keeps the two-PAN transition clean in books and returns.

Closure And Surrender

A dissolved firm or wound-up company surrenders its PAN through a letter to the jurisdictional Assessing Officer with dissolution or striking-off proof, after final returns are filed and refunds collected. Leaving dead entity PANs active invites notices for non-filing years later, addressed to partners who believed the story closed.

Detailed Banking Checklist

The current account interview at any major bank pairs the PAN with a predictable document set, and arriving complete cuts opening time from weeks to days:

Banks layer their own forms on top: beneficial ownership declarations, FATCA declarations, and signatory mandates, but the PAN-plus-constitution pair is the spine. Firms expecting to borrow should open the account where they intend to build the lending relationship, since transaction history at the lending bank is the cheapest credit enhancement a small business can create.

TDS Both Ways: The Entity As Deductee And Deductor

The business PAN sits on one side of TDS, and the firm’s TAN on the other, and running both correctly protects cash flow:

  • As deductee: clients deduct tax on payments to the firm, professional fees, contract payments, commission, against the firm’s PAN. The firm’s accountant reconciles Form 26AS quarterly, chasing clients whose deductions are missing or misquoted, since unclaimed credits are working capital stranded with the government
  • As deductor: the firm deducts on salaries, rent above thresholds, contractor and professional payments, depositing through its TAN and filing quarterly returns that quote each payee’s PAN. Accurate payee PANs keep deduction at standard rates rather than the 20 percent penal rate, keeping vendors and staff cooperative
  • Advance tax on the firm’s own profits runs on its own calendar, and a business that maps TDS credits against advance tax instalments avoids both interest and overpayment

This dual role is why the entity’s tax identity discipline is a finance function, not a formality: every percentage point of misrouted or delayed credit is margin.

Government Schemes And Tenders

Public procurement and MSME support systems key on the business PAN:

  • Udyam registration, built on PAN and GST data, classifies the enterprise and feeds eligibility for priority lending, credit guarantee coverage under CGTMSE, and delayed-payment protections against buyers
  • Government e-marketplace onboarding for supplying to departments verifies PAN and GSTIN during seller registration
  • Tender documents across public sector buyers demand PAN copies, and consortium bids collect the PANs of every member
  • Subsidy and incentive schemes, state industrial policies, and export promotion benefits process applications against the PAN-anchored identity

A trading firm or small manufacturer that completes the PAN, GST, Udyam triangle early finds itself pre-qualified for opportunities that undocumented competitors cannot touch, from institutional purchase orders to bank credit lines priced with guarantee cover.

Frequently Confused Points, Clarified

  • A proprietor with two shops still uses one personal PAN, since the person, not the shop count, defines the taxpayer
  • Two partnership firms with identical partners are still two separate taxable persons, each with its own PAN
  • A firm’s PAN is not the managing partner’s property, and it survives that partner’s exit
  • Branch offices do not get separate PANs, since the PAN belongs to the entity, while GST may add state-wise registrations on the same PAN and TDS may involve branch TANs
  • Changing the registered office, even across states, keeps the PAN while the address updates through a change request
  • The entity PAN needs no Aadhaar linking, which applies to individuals, but the signatories’ personal PANs do

Kept mentally sorted, these distinctions let founders answer bank and client questionnaires in minutes and spot errors in pre-filled forms before they harden into records.
